When these terms apply
These Terms for Sellers apply if you use LinkPay to sell, and to organizations and organization staff who take part in selling. They form part of our Terms of Service, and terms defined there have the same meaning here. The Payment Terms set out the money mechanics in detail and also form part of your agreement with us.
You sell as an independent business. Nothing here creates an employment relationship, a partnership, a joint venture, or an agency between you and LinkPay.
Becoming a seller
Before you can sell, and before we can pay you, you must:
- be at least 18 years old, and older where the law where you live requires it;
- complete identity verification. Everyone who earns on LinkPay is ID-verified — sellers, organization owners, and organization staff alike;
- provide a tax document — a W-9, W-8BEN, or W-8BEN-E, depending on who you are. See Payment Terms;
- add a payout account we can send money to.
You can earn before all of this is done, but you cannot be paid. Selling and accruing a balance are not blocked by a missing form; disbursement is. We would rather you did not discover that at the point of withdrawing.
We may decline or revoke seller access at our discretion, including where we cannot verify who you are.
What you upload
Content you upload goes into your private vault. From there you decide what to attach to a payment link and what to show publicly. You keep ownership of all of it; the licence you grant us is set out in Terms of Service and is limited to operating the platform and fulfilling purchases.
You are responsible for, and represent and warrant that:
- you hold every right needed to sell what you are selling;
- every person appearing in it was an adult at the time it was made, consented to being recorded and to it being sold, and that you hold documentation proving both — see the 18 U.S.C. §2257 Notice, which sets out what you must keep and for how long;
- it complies with the Acceptable Use Policy;
- where it is generated or altered by artificial intelligence, you disclose that, and it does not depict a real person without their consent.
All uploads are screened automatically before they can be delivered, and may be reviewed by a person. See Content Moderation, Reporting and Removal. We may remove content, and if we require your consent documentation and you cannot produce it, we will.
What is public, and what stays locked
LinkPay has two surfaces and they have different rules. Your profile — your handle, name, bio, avatar, banner and gallery — is public and indexed by search engines. A payment link page is not indexed, but anyone holding the link can open it and see whatever you marked as a preview.
Adult content is always locked. Previews, avatars, banners and profile galleries must be safe for work. This is enforced, not advisory: content classified as adult cannot be attached as a preview, used as an avatar or banner, or shown in a public gallery. Attempting to route adult content onto a public surface is a breach of these Terms.
Choose your handle and profile with that in mind. A public profile is a public thing, and we index it so buyers can find you. You can make your profile non-public at any time.
Payment links, and where you put them
You set the price, what is included, the kind of access a buyer gets, and any limit on how many people may buy. You are responsible for describing accurately what you are selling — a buyer is entitled to receive what the link said they would.
A payment link is made to travel, and where you send it is your responsibility. Links are designed to be shared off LinkPay — in messages, on social platforms, anywhere you reach an audience. Those places have their own rules, and some of them prohibit linking to adult or paid content. We do not police that for you and we cannot: complying with the terms of any platform you post on is yours to do, and we are not liable if one of them acts against your account there.
Do not arrange payment outside LinkPay for content delivered through it. That circumvents the fees these Terms are premised on, and it removes the buyer protections we provide.
How you get paid
The full mechanics — the platform fee, the waterfall, the hold, advances, chargebacks and the tax gate — are in the Payment Terms. In outline:
- A sale is reduced by processing costs and taxes, then by the platform fee, and what remains is distributed.
- If an organization created the link, the organization’s share comes out of that remainder on the terms you accepted. If organization staff created it, their commission comes out of whichever side agreed to fund it.
- Your share lands in your balance and becomes available for payout after a 10-day hold.
Balances are held against the person who earned, not against a seller account or an organization treasury. Every allocation records which fee and split configuration produced it, so what you earned on a sale never changes afterwards.
Organizations, splits, and who agreed to what
An organization can manage sellers and take a share of revenue. If you are a seller in an organization, or you run one, this section is the important one.
A split only applies if you accepted it. An organization proposes terms and the seller accepts them. Changes create a new version that must be accepted again, and a change is never retroactive — a sale is settled on the version in force when it happened.
An organization earns only on links it created. Being in a relationship with an organization does not entitle it to a share of your own sales. The same rule applies to staff commissions: staff earn on links they created, and nothing else.
Neither side can spend the other’s share. A commission an organization agrees to pay its staff comes out of the organization’s share; one a seller agrees to comes out of the seller’s. Your take is unaffected by an organization’s staffing arrangements, and theirs is unaffected by yours. For the same reason, a seller does not see how an organization divides its own share, and an organization does not see what a seller pays their own staff.
Our role. We are not a party to the commercial arrangement between a seller and an organization — it is theirs, and disputes about it are theirs to resolve. What we do is compute and settle it as accepted, and keep a record of which version applied to each sale. We will not adjudicate a disagreement about whether a split was fair, and we will not retroactively re-cut a settled sale.
[⚠ Post-termination share — to be settled before this document is final. When a seller and an organization part ways, links the organization created may keep selling. Whether the organization continues to receive its share, for how long, and on which links, is a term that must be stated here and agreed at the time the relationship is proposed. It is currently undecided. What is already settled: buyers keep the access they paid for, and amounts already allocated before termination stay allocated.]
Refunds, chargebacks, and a negative balance
When a sale is refunded or a buyer’s card issuer reverses it, the reversal is applied against the same shares the sale created, using the configuration that applied to that sale.
If the money is still inside the hold, it simply never becomes available. If it has already been paid out to you — including because you took an advance against it — your balance can go negative. A negative balance is recovered from what you earn next, and payouts are blocked while it is negative. This is a debt to us, and if you stop selling with a negative balance we may seek to recover it.
You agree to cooperate promptly with us and our payment providers in disputing a chargeback, including by providing what you have about the sale. If we cannot respond in time because you did not, the outcome is yours.
We may also withhold or set off amounts where we reasonably suspect fraud or a serious breach of these Terms, for as long as it takes to look into it. If we do, we will tell you why.
Closing your account
You can stop selling and close your account at any time. Your links stop accepting purchases and your content is removed from public view.
What buyers already paid for remains available to them, in their account, for as long as their purchase entitled them to it. Timed access still expires on its own clock. This is not negotiable and it is the one thing closing an account does not undo — they paid, and the deal was that they would have access.
We will pay out the balance you are owed, net of refunds, chargebacks and amounts you owe us, once the hold on it has run and provided your tax document and payout account are in order. Contact support@linkpay.co if a balance is stuck.
If we suspend or terminate you
We may remove content, disable a link, suspend selling, or terminate your account for breach of these Terms or the Acceptable Use Policy, where a payment provider or card network requires it, or where the law does. Serious violations — anything involving a minor, non-consensual material, or trafficking — result in immediate removal, termination, and referral to the authorities. Where circumstances allow, we will explain the reason and hear your response; where the risk is immediate, we act first.
